ĐIỀU KHOẢN SỬ DỤNG
Các Điều khoản Sử dụng này được ký kết và có hiệu lực giữa người sử dụng hoặc khách hàng của Datalytis (“Khách hàng”) và Datalytis (“Datalytis”, “chúng tôi”) và điều chỉnh việc Khách hàng truy cập, sử dụng website www.datalytis.com, cũng như việc sử dụng các sản phẩm, nền tảng, dịch vụ dữ liệu, phân tích dữ liệu, social listening, market intelligence, trí tuệ nhân tạo, tự động hóa và các tài liệu liên quan do Datalytis cung cấp. Các điều khoản này cùng với các tài liệu được dẫn chiếu hợp lệ, bao gồm nhưng không giới hạn ở Chính sách Quyền riêng tư, tạo thành toàn bộ thỏa thuận ràng buộc pháp lý giữa Khách hàng và Datalytis. Thời điểm có hiệu lực của Điều khoản Sử dụng là thời điểm Khách hàng lần đầu chấp nhận hoặc đồng ý với các điều khoản này, dù thông qua việc truy cập, sử dụng dịch vụ, ký kết hợp đồng, chấp thuận trên biểu mẫu điện tử hay bằng bất kỳ hình thức nào khác.
Website, dịch vụ và sản phẩm của Datalytis chỉ được cung cấp cho người đủ mười tám tuổi trở lên. Trường hợp người sử dụng chưa đủ mười tám tuổi, việc sử dụng chỉ được phép khi có sự đồng ý hợp lệ của cha mẹ hoặc người giám hộ theo quy định pháp luật. Bằng việc truy cập hoặc sử dụng website, dịch vụ hoặc sản phẩm của Datalytis, Khách hàng xác nhận rằng mình đủ điều kiện về độ tuổi và năng lực hành vi dân sự để giao kết và thực hiện thỏa thuận này. Trường hợp Khách hàng sử dụng dịch vụ thay mặt cho một tổ chức, doanh nghiệp hoặc pháp nhân khác, Khách hàng xác nhận rằng mình có đầy đủ thẩm quyền để ràng buộc pháp nhân đó với các Điều khoản Sử dụng này, và trong trường hợp đó, thuật ngữ “Khách hàng” được hiểu là pháp nhân tương ứng. Khách hàng chịu trách nhiệm bảo đảm rằng tất cả người dùng được ủy quyền dưới tài khoản của mình hiểu và tuân thủ các Điều khoản Sử dụng này, và mọi vi phạm của người dùng được ủy quyền đều được xem là vi phạm của Khách hàng.
Bằng việc sử dụng website, dịch vụ hoặc sản phẩm của Datalytis, hoặc bằng việc chấp thuận các Điều khoản Sử dụng thông qua biểu mẫu điện tử hay hợp đồng, Khách hàng xác nhận đã đọc, hiểu và đồng ý bị ràng buộc bởi các Điều khoản Sử dụng này cũng như Chính sách Quyền riêng tư của Datalytis. Trường hợp Khách hàng không đồng ý với bất kỳ nội dung nào của Điều khoản Sử dụng, Khách hàng phải ngay lập tức ngừng truy cập và sử dụng website, dịch vụ và sản phẩm.
Website và toàn bộ nội dung, tính năng, chức năng, dữ liệu, phần mềm, giao diện, thiết kế, văn bản, hình ảnh, video, âm thanh và các yếu tố khác trên website đều thuộc quyền sở hữu của Datalytis hoặc các bên cấp phép hợp pháp và được bảo hộ theo quy định pháp luật về sở hữu trí tuệ. Trừ khi được cho phép rõ ràng bằng văn bản, Khách hàng không được sao chép, phân phối, sửa đổi, tạo sản phẩm phái sinh, công bố, truyền tải, khai thác thương mại hoặc sử dụng bất kỳ phần nào của website, dịch vụ hoặc sản phẩm ngoài phạm vi quyền được cấp theo Điều khoản Sử dụng này. Việc sử dụng website và dịch vụ chỉ được phép cho mục đích hợp pháp và phù hợp với các điều khoản đã thỏa thuận.
Datalytis có quyền thay đổi, tạm ngừng hoặc chấm dứt website, dịch vụ, sản phẩm hoặc bất kỳ phần nào của chúng vào bất kỳ thời điểm nào mà không cần thông báo trước, trong phạm vi pháp luật cho phép. Datalytis không bảo đảm rằng website hoặc dịch vụ sẽ luôn sẵn sàng, không gián đoạn hoặc không có lỗi, và không chịu trách nhiệm đối với bất kỳ gián đoạn hoặc không khả dụng nào.
Để sử dụng một số tính năng hoặc dịch vụ, Khách hàng có thể phải tạo tài khoản và cung cấp thông tin đăng nhập. Khách hàng có trách nhiệm bảo mật thông tin đăng nhập và chịu hoàn toàn trách nhiệm đối với mọi hoạt động phát sinh từ tài khoản của mình. Khách hàng phải thông báo ngay cho Datalytis khi phát hiện bất kỳ hành vi truy cập trái phép hoặc vi phạm bảo mật nào liên quan đến tài khoản.
Khách hàng cam kết không sử dụng website, dịch vụ hoặc sản phẩm của Datalytis cho bất kỳ mục đích nào trái pháp luật, gây thiệt hại, gian lận, xâm phạm quyền và lợi ích hợp pháp của người khác hoặc làm ảnh hưởng đến hoạt động bình thường của hệ thống. Khách hàng không được thực hiện các hành vi can thiệp trái phép, thu thập dữ liệu tự động không được cho phép, phát tán mã độc, giả mạo danh tính, cung cấp thông tin sai lệch hoặc sử dụng dữ liệu và dịch vụ của Datalytis cho các hoạt động bị pháp luật cấm.
Datalytis cấp cho Khách hàng quyền sử dụng có giới hạn, không độc quyền, không chuyển nhượng, trong thời hạn đăng ký dịch vụ, để truy cập và sử dụng các sản phẩm và dịch vụ của Datalytis cho mục đích nội bộ hợp pháp của Khách hàng, phù hợp với gói dịch vụ, số lượng người dùng và phạm vi quyền đã được mua. Mọi quyền không được cấp rõ ràng đều được Datalytis bảo lưu. Khách hàng không được sao chép, dịch ngược, giải mã, sửa đổi, phân phối lại, cho thuê, bán lại hoặc cấp phép lại sản phẩm hoặc dữ liệu của Datalytis, trừ khi được cho phép rõ ràng bằng văn bản.
Các dịch vụ của Datalytis được cung cấp theo hình thức thuê bao trong thời hạn xác định theo gói dịch vụ đã đăng ký. Phí dịch vụ được thanh toán trước và không hoàn lại, trừ khi có thỏa thuận khác bằng văn bản. Datalytis có quyền điều chỉnh giá, tính năng hoặc điều kiện của các gói dịch vụ theo thời gian và sẽ thông báo cho Khách hàng theo hình thức phù hợp. Trường hợp Khách hàng không thanh toán đầy đủ hoặc đúng hạn, Datalytis có quyền tạm ngừng hoặc chấm dứt quyền truy cập dịch vụ.
Dữ liệu, thông tin và kết quả phân tích được cung cấp thông qua dịch vụ của Datalytis chỉ nhằm mục đích cung cấp thông tin và hỗ trợ ra quyết định, không cấu thành tư vấn pháp lý, tài chính hoặc kinh doanh. Datalytis không bảo đảm tính đầy đủ, chính xác tuyệt đối hoặc kết quả cụ thể từ việc sử dụng dữ liệu và không chịu trách nhiệm đối với bất kỳ quyết định hoặc thiệt hại nào phát sinh từ việc Khách hàng sử dụng dữ liệu.
Datalytis có thể tạm ngừng hoặc chấm dứt quyền truy cập dịch vụ của Khách hàng nếu Khách hàng vi phạm Điều khoản Sử dụng, sử dụng dịch vụ vượt quá phạm vi được cấp, vi phạm pháp luật hoặc khi có yêu cầu từ cơ quan nhà nước có thẩm quyền. Khi Điều khoản Sử dụng chấm dứt hoặc hết hiệu lực, Khách hàng phải ngừng ngay việc sử dụng dịch vụ và dữ liệu theo hướng dẫn của Datalytis.
Khách hàng có trách nhiệm tuân thủ mọi quy định pháp luật áp dụng liên quan đến việc sử dụng dịch vụ và dữ liệu, bao gồm nhưng không giới hạn ở pháp luật về bảo vệ dữ liệu cá nhân, an ninh mạng, tiếp thị, bảo vệ người tiêu dùng và các quy định chuyên ngành có liên quan. Khách hàng đồng ý bồi thường và bảo vệ Datalytis trước mọi khiếu nại, thiệt hại hoặc trách nhiệm phát sinh từ hành vi vi phạm pháp luật hoặc vi phạm Điều khoản Sử dụng của Khách hàng hoặc người dùng được ủy quyền.
Website, dịch vụ và sản phẩm của Datalytis được cung cấp trên cơ sở “nguyên trạng” và “sẵn có”, trong phạm vi pháp luật cho phép. Datalytis không đưa ra bất kỳ bảo đảm nào, dù rõ ràng hay ngụ ý, liên quan đến tính thương mại, sự phù hợp cho mục đích cụ thể hoặc việc không xâm phạm quyền của bên thứ ba. Trong phạm vi tối đa được pháp luật cho phép, Datalytis không chịu trách nhiệm đối với các thiệt hại gián tiếp, ngẫu nhiên, hệ quả, mất lợi nhuận, mất dữ liệu hoặc gián đoạn kinh doanh phát sinh từ việc sử dụng hoặc không thể sử dụng dịch vụ.
Tổng trách nhiệm pháp lý của Datalytis phát sinh từ hoặc liên quan đến Điều khoản Sử dụng này, trong mọi trường hợp, sẽ không vượt quá tổng số phí mà Khách hàng đã thanh toán cho Datalytis trong vòng mười hai tháng liền kề trước thời điểm phát sinh khiếu nại, trừ khi pháp luật có quy định khác.
Các Điều khoản Sử dụng này được điều chỉnh và giải thích theo pháp luật Việt Nam, trừ khi có thỏa thuận khác bằng văn bản. Mọi tranh chấp phát sinh từ hoặc liên quan đến Điều khoản Sử dụng sẽ được ưu tiên giải quyết thông qua thương lượng thiện chí; trường hợp không đạt được thỏa thuận, tranh chấp sẽ được giải quyết tại cơ quan có thẩm quyền theo quy định pháp luật.
Nếu bất kỳ điều khoản nào trong Điều khoản Sử dụng này bị xác định là vô hiệu hoặc không thể thi hành theo quy định pháp luật, các điều khoản còn lại vẫn giữ nguyên hiệu lực. Việc Datalytis không thực thi một quyền hoặc điều khoản cụ thể không được xem là từ bỏ quyền đó.
Điều khoản Sử dụng này cấu thành toàn bộ thỏa thuận giữa Khách hàng và Datalytis liên quan đến việc sử dụng website và dịch vụ, và thay thế mọi thỏa thuận, trao đổi hoặc cam kết trước đó, dù bằng miệng hay bằng văn bản.

TERMS OF SERVICE
These Terms of Service constitute a legally binding agreement between the user or customer of Datalytis (“Customer”) and Datalytis (“Datalytis”, “we”, “us”, or “our”) and govern Customer’s access to and use of the website www.datalytis.com
, as well as Customer’s use of Datalytis’ data platforms, products, and services, including data analytics, social listening, market intelligence, artificial intelligence, automation services, and any related documentation or materials provided by Datalytis. These Terms of Service, together with any documents expressly incorporated by reference, including the Privacy Policy, form the entire agreement between Customer and Datalytis. These Terms become effective as of the date Customer first accepts or agrees to them, whether by accessing or using the website or services, executing an order form or agreement, or otherwise indicating acceptance.
The website, services, and products are offered only to individuals who are at least eighteen years of age. If a customer is under the age of eighteen, use of the website or services is permitted only with the valid consent of a parent or legal guardian as required by applicable law. By accessing or using the website, services, or products, Customer represents and warrants that Customer meets the applicable age and legal capacity requirements to enter into this agreement. If Customer is using the services on behalf of a company, organization, or other legal entity, Customer represents and warrants that Customer has the authority to bind such entity to these Terms of Service, in which case the term “Customer” refers to that entity. Customer is responsible for ensuring that all authorized users under Customer’s account understand and comply with these Terms of Service, and any breach by an authorized user will be deemed a breach by Customer.
By accessing or using the website, services, or products, or by otherwise accepting these Terms of Service, Customer acknowledges that Customer has read, understood, and agrees to be bound by these Terms of Service and the Privacy Policy. If Customer does not agree to these Terms, Customer must immediately discontinue access to and use of the website, services, and products.
The website and all content, features, functionality, data, software, interfaces, designs, text, graphics, images, audio, video, and other materials available through the website or services are owned by Datalytis or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted in writing by Datalytis, Customer may not copy, reproduce, distribute, modify, create derivative works of, publicly display, transmit, commercially exploit, or otherwise use any portion of the website, services, or products outside the scope of the rights granted under these Terms of Service. Use of the website and services is permitted solely for lawful purposes and in accordance with these Terms.
Datalytis reserves the right, in its sole discretion and to the extent permitted by law, to modify, suspend, or discontinue the website, services, products, or any part thereof at any time without prior notice. Datalytis does not guarantee that the website or services will be available at all times, uninterrupted, or error-free, and shall not be liable for any unavailability, interruption, or degradation of service.
Certain features or services may require Customer to create an account and provide login credentials. Customer is responsible for maintaining the confidentiality of such credentials and for all activities that occur under Customer’s account. Customer agrees to notify Datalytis promptly of any unauthorized access to or use of Customer’s account or any other breach of security.
Customer agrees not to use the website, services, or products for any unlawful, fraudulent, harmful, or abusive purpose, or in any manner that infringes the rights of others or interferes with the normal operation of Datalytis’ systems. Customer shall not attempt to gain unauthorized access to systems, collect data through unauthorized automated means, introduce malicious code, impersonate others, misrepresent identity, or use Datalytis’ data or services for activities prohibited by applicable law.
Subject to Customer’s compliance with these Terms of Service, Datalytis grants Customer a limited, non-exclusive, non-transferable, revocable license, during the applicable subscription term, to access and use the services and products solely for Customer’s internal business purposes and in accordance with the applicable service plan, user limits, and usage restrictions. All rights not expressly granted are reserved by Datalytis. Customer may not reverse engineer, decompile, disassemble, modify, sublicense, resell, distribute, or otherwise exploit the services, products, or data, except as expressly permitted in writing.
Datalytis’ services are provided on a subscription basis for the term specified in the applicable service plan or agreement. Subscription fees are billed in advance and are non-refundable, except as expressly agreed in writing. Datalytis reserves the right to modify pricing, features, or service plans from time to time and will provide notice in a commercially reasonable manner. Failure to pay applicable fees may result in suspension or termination of access to the services.
The data, content, and analytical outputs made available through the services are provided for informational purposes only and do not constitute legal, financial, or business advice. Datalytis does not guarantee the accuracy, completeness, or usefulness of any data or results and shall not be responsible for decisions or actions taken by Customers based on such data.
Datalytis may suspend or terminate Customer’s access to the services, in whole or in part, if Customer violates these Terms of Service, exceeds the scope of permitted use, engages in unlawful activity, or if required by law or governmental authority. Upon expiration or termination of these Terms, Customers must immediately cease all use of the services and data in accordance with Datalytis’ instructions.
Customer is responsible for complying with all applicable laws and regulations relating to Customer’s use of the services and data, including laws governing data protection, cybersecurity, marketing, and consumer protection. Customer agrees to indemnify and hold harmless Datalytis from any claims, damages, losses, or liabilities arising from Customer’s violation of applicable law or these Terms of Service.
The website, services, and products are provided on an “as is” and “as available” basis, to the fullest extent permitted by law. Datalytis disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Datalytis shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or business interruption, arising out of or related to the use or inability to use the website or services.
To the fullest extent permitted by law, Datalytis’ total aggregate liability arising out of or relating to these Terms of Service shall not exceed the total fees paid by Customer to Datalytis during the twelve months preceding the event giving rise to the claim, unless otherwise required by applicable law.
These Terms of Service are governed by and construed in accordance with the laws of Vietnam, unless otherwise agreed in writing. Any dispute arising out of or relating to these Terms shall first be resolved through good faith negotiations, and if unresolved, shall be submitted to the competent courts or authorities in accordance with applicable law.
If any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by Datalytis to enforce any provision shall not constitute a waiver of that provision.
These Terms of Service constitute the entire agreement between Customer and Datalytis with respect to the use of the website and services and supersede all prior or contemporaneous agreements or understandings, whether oral or written.
